Company Secretary
Under the direction
of the Chairman, the responsibilities of the Company
Secretary as described in the New Combined Code includes:
- Ensuring good information flows within the Board and its Committees,
the Board and senior management and the Board and Non-Executive
Directors
- Facilitate in providing a properly constructed induction programme
for new Directors which is comprehensive, formal and tailored
to the needs of the individual
- Play a key role in assisting the Chairman in facilitating the
identification and meeting the development needs of individual
directors
- Advising the Board via the Chairman on all governance matters
- Ensuring that Board procedures are complied with
- All directors shall have access to the advice and services of
the Company Secretary
- The appointment and removal of the Company Secretary shall be
a matter for the Board as a whole.
